Diligence Checklist


Investors will expect some combination of the following items as they conduct due diligence. Not every startup will have all of these items, but it's a good idea to gather as much of this as possible. A lead investor will likely as for much more detailed information, but this is a decent starting point.

  1. Your full investor deck

  2. An outline of your funding history

  3. Outline of current round

  4. Financial Projections

  5. Historical data on the KPI's you use to monitor the business

  6. List of current board members and advisors

  7. List of current investors

  8. Management team bios, and Org. structure

  9. Sales/Marketing pipeline etc if applicable, and sales presentations.

  10. Use of proceeds anticipated for this round

  11. Competitive landscape analysis

  12. Legal structure & all legal docs related to prior financings

  13. IP ownership / assignments

  14. Patents
